This position will be responsible for supporting and advising all areas of the company from legal aspects including but not limited to corporate, regulatory and commercial matters. The incumbent will also be responsible for day-to-day company secretarial support functions, and work closely on legal and governance matters to ensure full compliance with all regulations relating to a listed company.
Attend hearings at all legal forums (courts and regulatory bodies) on behalf of the Company.
Maintaining periodical litigation review report presented to the higher management; assessing potential risks and possible outcomes in consultation with Line Manager+1.
Prepare materials for external legal counsel including board resolutions and power of attorney.
Organize and maintain all files relating to litigation and administrative matters.
Keep track of targets pertaining to recovery from litigation.
Submit draft comments/responses for cases at all legal forums such as Lower and High Courts, Tribunals; NEPRA; EOBI etc. to Line Manager+1 for review.
Keep track of Legal notices and try to resolve the issues internally as far as possible before seeking assistance of external counsel
Take regular updates from external panel of Lawyers regarding the cases forwarded and submit a weekly report to Line Manager+1.
Liaise with external counsel for opinions/legal advice in specialized area of law.
Intellectual Property Matters
Assist in the support and management of development and enforcement of all brand-related intellectual property, especially trademarks, copyright registrations and domain name registrations in collaboration with external counsel.
Company Secretarial Support
Facilitate the smooth operation of companys formal processes and help organize board and committee meetings.
Assist team with diligently dealing with all shareholder correspondence and timely processing dividend disbursement.
Coordinate with relevant departments for the preparation, publication and distribution of the companys annual and interim report and accounts.
Maintain statutory registers and making all corporate and regulatory filings and returns.
Maintain office filing systems, including correspondence, related administrative records and research based assignments.
Assist team with ensuring compliance with the continuing regulatory obligations and liaising with regulators (SECP, PSX, CCP etc.).
Experience and Qualification
Bachelor in Law
3 to 5 years experience in law firm or as in-house counsel, should have practical experience of courts of law in Pakistan
Demonstrated excellence in verbal and written communications.
Excellent organizational skills, problem-solving, ability to think critically, accuracy and detail oriented.
Stress management skills.
Proficient in MS Office.
Frequent travelling involved.
